The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and all Agreements: “Client”, “You” and “Your” refers to you, the person log on this website and compliant to the Company’s terms and conditions. “The Company”, “Ourselves”, “We”, "Our" and "XDE" refers to Xuedao Education Sdn. Bhd. “Party”, “Parties”, or “Us”, refers to both the Client and ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services, in accordance with and subject to, prevailing law of Malaysia. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.

Section 1.0: Student Code of Conduct and Classroom Regulations / 学生行为守则与课堂规范

Clause 1.1: Verification of Schedule and Refund Alignment / 1.1 课堂时间确认与退款政策对齐

It is the sole responsibility of the Parent/Guardian to arrange and confirm the student's personal schedule and timetable prior to purchasing any classes. Once the order is completed and payment is processed, any eligibility or processing of refund requests must strictly and exclusively adhere to the Returns and Refund Policy set forth in Section 2.0 of this document.

1.1 家长/监护人有绝对责任在选购课程前自行安排并确认学生的课堂时间。一旦订单完成并成功支付结账，任何退款的资格或处理流程，必须严格且唯一遵守本文件第二章节（Section 2.0）所列之退款条款与条件。

Clause 1.2: Staff Dignity Protection and Zero-Tolerance Malicious Behavior Clause / 1.2 捍卫员工尊严与恶意攻击零容忍条款

If a student or parent/guardian fails to comply with the classroom regulations or behaves in a manner that disrupts the teaching process, XDE will issue up to two (2) warnings. Furthermore, XDE maintains a zero-tolerance policy towards harassment and defamation. If a parent/guardian or student engages in malicious attacks, unsubstantiated or baseless criticism causing reputational damage to XDE, personal harassment, verbal abuse, malicious slander, or moral kidnapping targeted at XDE staff during course consultations or any business interactions, XDE reserves the absolute right to immediately terminate all communications with said party and permanently blacklist them from all current and future services, classes, or activities to protect the company's reputation and ensure the dignity, safety, and well-being of our employees.

1.2 若学生或家长/监护人无法遵守课堂规则，或出现任何影响课堂流程、破坏教学质量的行为，XDE 将给予最多 2 次警告。此外，本公司坚持对骚扰与诽谤行为实行零容忍政策。在课程咨询、业务对接或任何接洽沟通过程中，若学生或家长/监护人对本公司进行恶意攻击、发表无证据且造成 XDE 名誉损失的指责批评、对员工进行人身攻击、粗口辱骂、恶意污蔑、或实施道德绑架等行为，学到教育有绝对权利立即停止与该家长或学生的一切联络，并将其无条件列入黑名单，永久剥夺其报名参与本公司主办的任何活动或课堂的资格，以坚决维护学到教育的官方声誉并捍卫员工的尊严、人身安全与合法权益。

Clause 1.3: Hardware and Network Infrastructure Requirements / 1.3 硬件设备与网速保底要求

To ensure optimized and guaranteed online learning quality, parents/guardians must prepare the necessary hardware (such as a laptop, desktop computer, smartphone, or tablet) prior to the commencement of the class. Students are required to attend classes in an environment with a strong and stable Wi-Fi/internet signal. If the network speed remains unstable, please verify if other family members are conducting high-bandwidth activities (particularly streaming high-definition videos), and temporarily disable them until the online class concludes.

1.3 为确保网课的学习质量受到充分保证，请提前准备好用于上课的电脑、手机或平板电脑。学生应在所在地 Wi-Fi 信号较强且适合学习的环境中做好准备，以避免网速不稳定影响上课质量。如果网速仍不稳定，请务必检查是否有家人正在进行高带宽活动（特别是观看网络视频），请尝试先关闭相关设备，待学生上完课后再继续使用。

Clause 1.4: Pre-Class Technical Preparation and Material Validity / 1.4 课前准备与教务物资时效性规范

Before the class begins, students must ensure all required stationery is prepared, relevant classroom educational materials and PDFs are printed, personal physiological needs are fulfilled, and they have logged into Zoom with their video camera turned on and microphone fully muted. Kindly note that all provided class materials, including but not limited to digital notes, downloadable learning resources, and educational Blooket game links, are strictly valid for the current academic year only. To ensure content remains up-to-date and rigorously aligned with the latest national syllabus, all links and digital assets will be systematically refreshed and updated annually, after which older links will become permanently invalid.

1.4 上课前：学生必须提前准备好文具，打印好当堂课的课堂资料，确保吃饱并提前上好厕所。完成登录 Zoom 后，必须立刻打开摄像头并关闭麦克风（保持静音）。请家长与学生特别注意：XDE 发放的所有课堂资料（包括但不限于电子笔记、可下载的学习资源及 Blooket 游戏链接）的有效期严格仅限于当前学年内。为了确保网课教学内容紧跟国家最新教育大纲，系统将于每年年底对所有在线链接及教务物资进行全面刷新与同步升级，过期后旧学年的链接将全自动永久失效。

Clause 1.5: Compulsory Video Camera Mandate / 1.5 强制全程开启摄像头规范

Students must keep their video cameras turned ON throughout the entire duration of the class. This is mandatory to ensure effective real-time communication with the instructors and to allow instructors to monitor and supervise the student's active engagement, thereby achieving the highest learning outcomes.

1.5 上课时学生必须全程打开摄像头，以便能与老师进行有效的实时沟通，这也极大方便老师监督和管理学生的上课学习情况，以确保达至最佳的学习成果！

Clause 1.6: Verification of Identity via Naming Conventions / 1.6 官方真实姓名登入验证大闸

Students must log into Zoom using the EXACT STUDENT'S FULL NAME as registered in the official enrollment form. Any student whose identity cannot be verified by the admin or system will be permanently removed from the virtual classroom immediately. (To rename: Click Participants > Hover over your name > Click 'More' > Click 'Rename').

1.6 请务必使用在报名表格里填写的学生英文全名登入 Zoom 课堂。后台教务人员如发现无法确认身份的学生，该账号将直接从课堂中移除，恕不另行通知。（重命名方法：点击 Participants ➔ 鼠标指向自己的名字 ➔ 点击 More ➔ 点击 Rename 更改）。

Clause 1.7: Unauthorized Entry and Duplicate Profile Disciplinary Measures / 1.7 重复账号与非法串网严厉处置

If any duplicate names or unregistered profiles are detected during the live class, XDE will immediately relegate such accounts to the Waiting Room, and the Company reserves the legal and administrative right to take severe disciplinary actions against the offending parties.

1.7 若在上课期间发现课堂内有重复的名字，或尚未报名的非法串网名字，XDE 将第一时间将其移至等候室（Waiting Room），并保留采取严厉法律与行政追究处置的权利。

Clause 1.8: Classroom Acoustic Environment Enforcement / 1.8 课堂静音与噪音管控

When the instructor is delivering the lecture, students must keep their microphones fully muted (MUTE) at all times to prevent ambient background noise from compromising the overall classroom environment and learning quality.

1.8 导师正在授课与讲解时，请所有学生务必保持麦克风处于静音状态（MUTE），以免产生的杂音影响整堂课的教学品质。

Clause 1.9: Protocol for Academic Inquiries and Q&A / 1.9 提问互动与问答环节规范

If students have academic inquiries during the lecture, they must first click the "Raise Hand" function in Zoom or type their questions directly into the chat/message box. Students may only unmute themselves (UNMUTE) to ask questions during the official Q&A session after receiving express permission from the instructor.

1.9 课堂上若有疑问，学生请先点击 Zoom 的 “Raise Hand（举手）” 功能，或在留言区提出问题。学生亦可以在官方特定问答环节中，在获得老师的明确允许下，方可取消静音（UNMUTE）开麦发问。

Clause 1.10: Strict Chat Box Regulations / 1.10 严禁留言区灌水与发布无关内容

Students are strictly prohibited from chatting, spamming, or posting any irrelevant, inappropriate, or non-academic topics within the Zoom live text message box.

1.10 严禁学生在 Zoom 留言区进行私人聊天、恶意刷屏（Spam）或发布任何与课堂教学内容无关的话题。

Clause 1.11: Discretionary Authority Over Classroom Capacities / 1.11 导师对课堂最高人数的设定主权

Instructors of XDE reserve the absolute discretionary right to set and restrict the maximum headcounts for each class based on their individual professional capabilities and with the core focus of maximizing student learning outcomes.

1.11 XDE 的导师们将根据个人教学能力，并以保证最高课堂学习成果为主，拥有设定 and 限制每间直播课室最高人数的绝对主权。

Clause 1.12: Premium Seats Exclusively Reserved for Dedicated Students / 1.12 学席严选认真学习的学生

Due to the highly limited seating capacity for each grade, there are other prospective students queueing on the official Waiting List awaiting enrollment. Our academic slots are strictly and exclusively reserved for students who are fully dedicated to serious and committed learning.

1.12 由于每堂课程的课室名额极度有限，官方等候名单（Waiting List）里仍有许多学生正在排队等候报名参加，我们的有限学席只限真正想要认真学习的学生。

Clause 1.13: Forfeiture of Seat Priority Upon Deadline Expiry / 1.13 逾期自动转让现有学席

Upon the expiration of the priority registration deadline communicated by the management, any existing unclaimed seats and vacant slots will be automatically and unconditionally transferred to the next eligible applicant on the Waiting List.

1.13 在官方官方给予的优先报名期限截止后，现有的学席名额将全自动解约，并无条件转让给等候名单（Waiting List）里的下一位排队学生。

Section 2.0: Returns and Refund Policy / 退款条款与条件

Clause 2.1: Refund Eligibility / 2.1 退款资格审查

Clause 2.1.1: Strict Written Request Timeline Mandate / 2.1.1 书面申请时限规范

To be eligible for a refund, You must submit an official written refund request to Us within 1 day of the Goods’ or services' purchase date. Any request submitted after this 1-day lock-in window will be automatically rejected.

2.1.1 为了获得退款资格，您必须在购买商品或网课服务之日起的 1天之内，向我们正式提交书面的退款申请。任何超出此 1 天锁定期限的申请将被系统全自动拒绝受理。

Clause 2.1.2: Compulsory Information Requirements / 2.1.2 强制信息提供要求

The formal written refund request must explicitly include the following parameters: Official Order Number (e.g., XDE-XXXXX), Customer Name / Parent's Name, Registered Contact Information (Phone and Email), and a clear, concise, and verifiable reason for the refund request.

2.1.2 提交的正式书面退款申请中必须清楚且完整地包含以下各项核心参数：官方有效订单号（例如：XDE-XXXXX）、客户姓名 / 家长姓名、注册时使用的联系方式（电话号码与电子邮箱）、以及清晰、简明且可查证的退款原因说明。

Clause 2.2: Refund Review and Approval / 2.2 退款审核与批准主权

Clause 2.2.1: Right of Absolute Discretionary Determination / 2.2.1 绝对酌情裁定权

We reserve the absolute right to thoroughly review all submitted refund requests and determine eligibility based on our internal refund policies, course access records, and applicable commercial laws of Malaysia.

2.2.1 我们保留对所有提交的退款申请进行深度审核的绝对权利，并有权根据本公司内部退款政策、系统课堂访问日志以及马来西亚相关商业法律来最终裁定该申请是否具备退款资格。

Clause 2.2.2: Evaluative Review Factors / 2.2.2 审核评估考量因素

Factors that may affect and determine your refund eligibility include, but are not limited to: the precise nature of the digital product, package, or service purchased; the objective legitimacy of the reason for the refund request; verifiable evidence of technical defects or system issues; and prior compliance with our overall Terms and Conditions.

2.2.2 影响并最终决定您是否获得退款资格的考量因素包括但不限于：所选购的数字化产品、网课配套或教学服务的具体性质；退款申请原因的客观合理性与真实性；系统底层是否存在技术缺陷、无法开课或故障的切实凭证；以及该用户在此之前对我们整体服务条款的遵守合规记录。

Clause 2.3: Refund Method and Deductions / 2.3 退款发放形式与手续费扣除规范

Clause 2.3.1: Store Voucher Disbursement as Default Method / 2.3.1 默认以平台现金礼券形式发放

Under exceptional circumstances where a refund request is officially approved by Us, the processed refund amount will be disbursed strictly and exclusively in the form of an XDE Platform Store Voucher / Course Credit to be utilized for your next checkout transaction within the XDE platform.

2.3.1 在 XDE 特许核准退款的极特殊情况下，退款将严格且唯一以【XDE平台专属现金礼券/课程扣金】的形式发放，供您在下一次选购 XDE 的任何课程时进行全额抵扣。

Clause 2.3.2: Conditional Exceptions for Cash Refunds / 2.3.2 破例执行现金退款的条件

Cash refunds or banking transfers will only be granted under the absolute condition where future course utilization within the XDE platform is rendered permanently impossible (e.g., the student has officially graduated from all available academic tiers of XDE). Alternatively, parents may submit a formal request to transfer the approved balance into the active account balance of the student's sibling(s), if applicable.

2.3.2 破例执行现金退款的唯一免责前置条件为：用户后续已彻底、永久无法继续使用 XDE 平台提供的任何教育服务（例如学生已从 XDE 所有的现有学制阶梯中正式毕业）。或者，家长可以提交正式申请，将该笔经核准的余额全额转让并注入至其在读的亲兄弟姐妹（如有）的活跃账户余额中。

Clause 2.3.3: Processing Fees and Promotional Package Restrictions / 2.3.3 基础行政手续费与促销限制

For standard monthly courses, a fixed RM5 administrative processing fee plus 10% of the Goods’ regular price will be automatically deducted from the refund amount. The finalized balance will be disbursed no later than 14 days upon our formal approval. Any Goods, monthly modules, or flash-sale courses purchased under explicit clearance sales or seasonal promotion coupons are strictly non-refundable.

2.3.3 针对标准单月课程，退款金额中将自动扣除 RM5 的固定行政处理费，以及该商品原价的 10% 作为渠道交易手续补偿费。经官方批准后，最终的余款发放流程将在不迟于 14天 的工作日内处理完成。任何在清仓特价、限时特惠、或使用特定特殊促销代码下购买的商品或短期独立网课，一律属于绝对不可退款范畴。

Clause 2.3.4: Annual Promotional Package Early-Termination Clawback Calculation / 2.3.4 全年优惠配套中途解约的“原价追溯扣除公式”

In the educational sector wise, XDE provides an exceptional recourse for long-term contracts. If a refund is exceptionally approved for an Annual Package (which inherently enjoys massive promotional discounts), the early termination will completely void the promotional rates. The refund amount will be calculated by reverting all consumed/attended sessions to the standard, non-promotional single-session normal price.

* Official Calculation Formula: `[Total Annual Promotional Price Paid] - ( [Number of Sessions Attended/Consumed] × [Standard Normal Price Per Session] ) = [Sub-total Balance]`

* Final Deductions: The RM5 administrative processing fee and a 10% transaction fee based on the remaining sub-total balance will be deducted from the sub-total. The final remaining net amount will then be refunded to the customer.

* Case Example: A customer purchased an Annual Promotional Course at RM720 for 40 sessions (promotional rate of RM18/session). After 30 sessions are consumed, an exceptional refund is requested and approved. The 30 consumed sessions will be clawed back and recalculated at the standard normal price of RM20/session (30 sessions × RM20 = RM600). This consumed asset value of RM600 is deducted from the paid RM720, resulting in a sub-total balance of RM120. Finally, the RM5 administrative fee and a 10% transaction fee of the remaining sub-total (10% of RM120 = RM12) are deducted. The final total net refund issued back to the customer will be exactly RM103 (RM120 - RM5 - RM12).

2.3.4 基于在线教育行业的特殊性，XDE 为长期合约提供极人性化的特殊处理通道。针对获得特许批准的【全年优惠配套】退款（由于此类配套本身已享有极大的包月折扣优惠），一旦中途提早解约，所有长线促销福利将自动宣告作废。所有已上过/已消耗的课时，将一律取消优惠价，并恢复以“单堂课非促销标准原价”重新追溯对账。

* 官方核算公式：`【已付的全年优惠配套总价】 - （【已上过/已消耗的课时总数】 × 【单堂课的非促销标准原价】） = 【对账后的小计余额】`

* 终审扣费：系统将从小计余额中，进一步扣除 RM5 的行政处理费，以及该小计余额的 10% 渠道交易手续费，结算后的最终净余款方可退还给用户。

* 真实案例演示：假设家长购买的全年促销配套总价为 RM720（内含 40 堂课，折后相当于每堂课 RM18）。学生在上了 30 堂课 后因特殊原因申请解约并获得批准：这已消耗的 30 堂课将触发追溯机制，全面恢复标准原价 每堂课 RM20 重新核算（30堂 × RM20 = RM600）。此已消耗的 RM600 将从已付的 RM720 中扣除，对账后的小计余额为 RM120。最终，系统将再扣除 RM5 的行政处理费以及小计余额的 10% 交易手续费（RM120 的 10% = RM12）。最终实际退还给家长的净总额精准为 RM103（即 RM120 - RM5 - RM12）。

Clause 2.4: Exceptions and Limitations / 2.4 例外与最终限制条件

Clause 2.4.1: Consumed Digital Assets Limitation / 2.4.1 已消耗数字资产之限制条件

Certain products or services are strictly non-refundable. This includes, but is not limited to, any courses, digital files, live replays, or educational assets that have already been used, accessed, attended, or downloaded by the student or parent.

2.4.1 某些特定的产品或服务属于绝对不可退款类别。这包括但不限于：已经被学生或家长实际点击使用、激活登录、进入直播间上过课、观看过回放、或已经点击下载了 PDF 课件资料的任何课程和数字教务资产。

Clause 2.4.2: Right of Policy Modification / 2.4.2 条款修订之权利保留

We reserve the right to modify, amend, or update these refund terms and conditions at any time. Any changes will become effective immediately upon being posted on XDE official websites.

2.4.2 我们保留随时修改、修订或更新本退款条款与条件的绝对权利。任何条款的变更一经在 XDE 官方网站上公布，将立即产生实时法律效力。
